Contract for Services

This contract ("Contract") is entered into between The Photo Waggin (referred to as "Photographer") and Hot Diggity Dog Festival (referred to as "Client") for the provision of mobile photo studio services for the event called Hot Diggity Dog Fest in Nashville, TN, scheduled to take place on September 9th, 2023 (referred to as the "Event").

Services

The Photographer agrees to provide mobile photo studio services for the Event, including but not limited to:

Setting up a mobile photo studio for dogs

Capturing high-quality photographs of dogs during the Event

Providing digital copies of the photographs to the Client

Fees and Payment

The Client agrees to pay the Photographer a total fee of $300/hour for the duration of 6 hours for the services rendered. A deposit of $900 is required to secure the Photographer's services for the Event. The deposit is non-refundable, regardless of any changes or cancellations made by the Client.

Client's Responsibilities

The Client shall:

Provide accurate and complete information regarding the Event

Cooperate with the Photographer to ensure a smooth photography session

Ensure the safety and well-being of the dogs present during the Event

Obtain any necessary permissions or authorizations required for the photography session

Copyright and Usage

The Photographer retains the copyright to all photographs taken during the Event. The Photographer reserves the right to use the photographs for promotional purposes, including but not limited to website, social media, portfolio, and advertising. The Client may use the photographs for personal, non-commercial purposes only.

Indemnification

The Client agrees to indemnify and hold the Photographer harmless from any claims, liabilities, damages, or expenses arising out of or in connection with the services provided under this Contract.

Force Majeure

Neither party shall be held liable or responsible for any failure or delay in performance under this Contract resulting from acts beyond their control, including but not limited to natural disasters, strikes, or government restrictions.

Governing Law and Jurisdiction

This Contract shall be governed by and construed in accordance with the laws of the state of Tennessee, without regard to its conflict of laws principles.

Entire Agreement

This Contract constitutes the entire agreement between the Photographer and the Client, and supersedes all prior discussions, negotiations, or agreements, whether written or oral, relating to the subject matter herein.

Amendments and Waivers

Any amendments or waivers to this Contract must be made in writing and signed by both parties.

By e-signing below, the Photographer and the Client acknowledge that they have read, understood, and agreed to the terms and conditions set forth in this Contract.
